Terms of Use — ekipa VentureKit Demo Environment

§ 1 Scope and Purpose

(1) These Terms of Use govern access to and use of the ekipa VentureKit Demo Environment (hereinafter "Demo Environment"), operated by ekipa GmbH, Münchener Straße 41, 60329 Frankfurt am Main (hereinafter "ekipa").

(2) The Demo Environment is a standalone trial instance of the ekipa VentureKit platform, made available exclusively for the purpose of evaluating the platform's features and suitability. It is not the productive VentureKit platform.

(3) These Terms apply to all individuals who have been granted access to the Demo Environment via personal invitation by ekipa (hereinafter "Demo Users").

(4) Access to the Demo Environment does not constitute the conclusion of any service contract, licence agreement or commercial commitment between ekipa and the Demo User or their organisation.

§ 2 Access and Invitation

(1) Access to the Demo Environment is granted exclusively via a personal invitation link sent to the Demo User's business email address.

(2) The Demo User is obliged to keep their invitation link and access credentials confidential and not to share them with third parties.

(3) ekipa is entitled to revoke Demo Environment access at any time without stating reasons, in particular in cases of suspected misuse or breach of these Terms.

(4) The Demo User has no entitlement to the granting or continuation of access.

§ 3 Demo Period

(1) Access to the Demo Environment is granted for a limited trial period communicated by ekipa upon invitation (typically 14–30 days).

(2) ekipa reserves the right to extend or shorten the demo period at its own discretion with prior notice to the Demo User.

(3) Upon expiry of the demo period, access is automatically deactivated. All data associated with the Demo User's account will be deleted within 30 days in accordance with the Demo Privacy Notice.

§ 4 Nature of Demo Content

(1) The Demo Environment contains exclusively pre-loaded synthetic demonstration data. This data does not represent real individuals, organisations, projects or business information.

(2) The Demo User is explicitly requested not to enter, upload or process the following within the Demo Environment:

real personal data of employees, customers or third parties;
confidential or proprietary business information;
sensitive or legally protected information;
real idea submissions, evaluations or innovation project data intended for productive use.

(3) The Demo Environment includes an active AI-powered reporting feature. When using this feature, prompt input is transmitted to Anthropic, Inc. (USA) for processing. The Demo User is explicitly requested not to include real personal data, confidential information or sensitive content in AI prompts. The AI feature accesses only data present within the Demo Environment workspace, which contains exclusively synthetic demonstration data.

(4) ekipa accepts no liability for any consequences arising from the Demo User entering real or sensitive data into the Demo Environment or into AI prompts in contravention of clauses (2) and (3).

§ 5 Permitted Use

(1) The Demo Environment may only be used for the purpose of evaluating the VentureKit platform and its suitability for the Demo User's organisation.

(2) The following uses are expressly prohibited:

a) use for any productive, commercial or operational purpose;
b) automated access (scraping, crawling, automated data extraction);
c) circumventing access controls or security measures;
d) distributing malicious code or unlawful content via the Demo Environment;
e) sharing access with individuals not authorised by ekipa.

§ 6 Intellectual Property

(1) The VentureKit platform, including its user interface, underlying technologies, algorithms, methods, templates and working tools, is the intellectual property of ekipa GmbH. No rights therein are transferred to the Demo User.

(2) The Demo User acknowledges that the Demo Environment reveals proprietary features, methodologies and configurations of ekipa GmbH. This information is to be treated as confidential and must not be disclosed to third parties.

§ 7 Confidentiality

(1) The Demo User agrees to treat all non-public information about the VentureKit platform encountered during the demo period — including features, functionality, pricing and configuration — as confidential.

(2) This confidentiality obligation survives the termination of Demo Environment access.

§ 8 Liability

(1) The Demo Environment is provided "as is" for evaluation purposes. ekipa makes no warranties regarding the availability, completeness, accuracy or fitness for purpose of the Demo Environment.

(2) ekipa accepts no liability for:

a) interruptions, failures or delays of the Demo Environment;
b) data entered by the Demo User in contravention of § 4(2);
c) errors or inaccuracies in the pre-loaded demonstration data;
d) any decisions made by the Demo User based on the Demo Environment.

(3) ekipa's liability is in any case limited to damages caused by intentional or grossly negligent conduct. This limitation does not apply to damages arising from injury to life, body or health.

§ 9 Data Protection

(1) The processing of personal data in connection with the Demo Environment is carried out exclusively in accordance with the VentureKit Demo Privacy Notice, available at the Demo Environment login page.

(2) Processing is limited to the Demo User's account data (business email address, name if provided) and technical usage data. No productive personal data is processed.

§ 10 Termination

(1) Demo Environment access terminates automatically upon expiry of the demo period (§ 3).

(2) ekipa is entitled to terminate Demo Environment access at any time with immediate effect in cases of breach of these Terms.

(3) The Demo User may request deactivation of their account at any time by contacting hello@ekipa.de.

(4) Deletion of account data following termination is governed by the Demo Privacy Notice (30-day deletion period).

§ 11 Final Provisions

(1) These Terms are governed by the laws of the Federal Republic of Germany.

(2) The place of jurisdiction is Frankfurt am Main, to the extent permitted by law.

(3) Should any provision be invalid, the remaining provisions remain in force.

(4) The binding version of these Terms is the German version. Any English translation is for reading purposes only.
